Greytip Software Pvt. Ltd. ("Greytip", "We", "Us", “Our,” and terms of similar meaning) is the owner of greytHR (“Application”) and/or all of the webpages, subdomains, and subparts thereof. Greytip wishes to aggregate all the payment instructions initiated by the user (hereinafter referred to as "You", "Your") via the Application through the bank's corporate internet banking platform (“Bank Website”), which shall be processed by ICICI Bank (“Bank”). The integration of the Application along with the bank website shall be collectively referred to as “Platform”. The Platform shall allow You to avail the Services (as defined hereunder) subject to these terms contained herein (“Terms”).
Please read these terms carefully before using the platform or the services. By accessing or using the Platform or by merely browsing the platform, You agree to be legally bound by these Terms and all terms, policies, and guidelines incorporated by reference in these Terms. If You do not agree with these Terms in their entirety, You may not use the platform.
By using the platform, You represent and warrant that:
(i) You are at least 18 years old or the legal age under the law applicable in the jurisdiction from where You access the Platform;
(ii) You have the lawful authority and capacity to contract and be bound by these Terms;
(iii) If You are accepting these Terms on behalf of a company, limited liability partnership or other legal entity, You have the authority to bind such entity to these Terms and, in such event, "You" and "Your" as used in these Terms shall refer to such entity; and
(iv) You will comply with all applicable laws and regulations.
These Terms, along with the terms available https://hr.greytip.com/v2/static-content/terms-of-use agreed to by you for the use of the application and shall constitute the entire and only agreement between you and us, and supersede all prior agreements, representations, warranties, and understanding with respect to the platform, the content, services provided by or through the platform, and the subject matter of these Terms. These Terms may be amended at any time by us from time to time without specific notice to you. The latest Terms will be posted on the platform, and you should review these Terms before using the Platform.
You agree that these Terms are separate from any terms and conditions/ documentation that may be agreed/ executed by You with the bank (“Bank’s T&C”). You agree that these Terms shall be read harmoniously to the extent possible with the bank’s T&C. In the event of any conflict between the two, these Terms shall prevail over the bank’s T&C. You further agree that we shall not be held liable or responsible for any amendments being made to the bank’s T&C.
The platform provides for the following (collectively referred to as “Services”):
(i) Enables You to link one or many ICICI bank accounts to this greytHR application.
(ii) Enables You to initiate Salary Transfer instructions to Your employees' bank account from Your linked bank account.
(iii) Enables You to check/view the status of the initiated salary transfer instructions along with other related information.
You agree that:
(i) We merely act as a transaction aggregator and all the payment instructions initiated from the Application by You will be processed by the bank through the bank's website. We make no representation of any kind, express or implied, as to the operation of the interface other than what is specified for this purpose. You expressly agree that Your use of the Service is entirely at your own risk and responsibility.
(ii) We only display the payment status/message as submitted by ICICI bank. We are not responsible for any incorrect status updates. You can contact your branch for any support.
(iii) You will be required to login to the bank website with Your user ID and password, given by the bank (“Login Credentials”), and you are responsible for maintaining the security and confidentiality of your login credentials.
(iv) the login credentials are distinct from the user ID and password provided to you by us for the purpose of authentication and usage of the application (“Application Credentials”) and that the login credentials shall be subject to valid confirmation by the bank.
(v) You will provide true, accurate, current and complete information about Yourself and your accounts and you agree to not misrepresent Your identity or your account information. You further agree to keep Your account information up to date and accurate.
(vi) You are responsible for maintaining the confidentiality of access credentials of your greytHR account and for all activities that occur as part of you availing of the integration.
(vii) Neither we, nor any of our officers, directors, shareholders, or other representatives shall be liable to you under any circumstances for or any direct, indirect, punitive, incidental, special or consequential damages that result from or arise out of, or a breach or, or compromise of your login credentials details of your account with the bank and/or your ability or inability to use such account.
(viii) You are assumed to be familiar with payroll processing and all applicable legal/ statutory compliances. You are solely responsible for ensuring the accuracy of the payment information provided for in the Statements and we shall not be held liable for any discrepancy/ mismatch in the statements and the payment instruction provided by you that the bank executes.
(ix) We are not responsible for any transaction failure on account of the following:
Non-maintenance of minimum balance.
Insufficiency of funds.
Invalidation of login credentials.
Exceeding transaction limit or size.
Or any other condition as may be stipulated by the bank in its terms and conditions.
(x) You shall pay the incidental/transactional charges which may be applicable to you for transactions carried out through the platform as imposed by us and/or the Bank. You further agree that the transaction charges will be levied per the schedule of charges as may be calculated by the bank and us from time to time.
(xi) You authorize us to store your bank transaction status, UTR number, transaction reference I.d and transaction type to generate a transaction report pursuant to a transaction generated on the application. You agree that we are not liable to share any such transaction report for transactions generated by you outside the application.
(xii) We shall not be held responsible for any server related issues of the bank’s website like ‘slow down’ or ‘failure’ or ‘session timeout’. Further under no circumstances shall we be held liable for any fraudulent/duplicate transactions. No communication received in this regard shall be entertained by us.
(xiii) We shall not assume any liability whatsoever for any monetary or other damage suffered by you on account of:
▪ Delay, failure, interruption, or corruption of any data or other information transmitted in connection with use of the bank’s website in connection thereto;
▪ Any interruption or errors in the operation of the bank’s website; and/ or
▪ Any delay or error in crediting of funds or delay in refund of funds.
(xiv) Your personal data including without limitation details relating to login credentials, application credentials, employee & employer bank account details and UTR transmitted over the internet may be susceptible to misuse, hacking, theft and/ or fraud and we have no control over such matters.
(xv) Although all reasonable care has been taken towards guarding against unauthorized use of any information transmitted by you, we do not represent or guarantee that the use of the services will not result in theft and/or unauthorized use of data over the Internet.
(xvi) We do not have control and/or access to the transaction authorization workflow of Your corporate internet banking account and the authorization workflow will be in accordance with your agreement with the bank and the bank’s T&C. Further you agree that we shall not be liable for any loss suffered by You pursuant to such authorisation outflow.
(xvii) You are given with the access to edit your dashboard to update the transaction status. You understand that your action of updating the transaction status is irreversible and can be done only once per user per batch. You understand that it is your sole responsibility to update the status from its current status to the new one as you update.
(xviii) That we are not liable for any loss suffered by you arising out of acts of fraud, misrepresentation, misconduct or any such illegal activities by the bank and/or its directors, employees, shareholders or other representatives.
(xix) That the terms and conditions in this section are in addition to the greytHR terms of use & privacy policy listed on www.greythr.com. If there is a conflict between these terms, then this agreement shall govern.
(xx) We have the right to temporarily or permanently disable or suspend the integration without any prior notice.
You agree to indemnify, defend and hold us and our partners, agents, officers, directors, employees, subcontractors, successors, assigns, third party suppliers of information and documents, attorneys, advertisers, product and service providers, and affiliates (collectively, "Affiliated Parties") harmless from any liability, loss, claim and expense, including reasonable attorney's fees, related to your violation of these terms or use of the services under the platform.
THESE OF SERVICES, THE, CONTENT AND DOCUMENTS FROM OR THROUGH THE PLATFORM ARE PROVIDED "AS-IS," "AS AVAILABLE," WITH "ALL FAULTS", AND ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED (INCLUDING BUT NOT LIMITED TO THE DISCLAIMER OF ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE). THE INFORMATION AND SERVICES MAY BE SUBJECT TO INTERRUPTION, MAY CONTAIN BUGS, ERRORS, PROBLEMS OR OTHER LIMITATIONS. THE RESULTS OBTAINED FROM THE SERVICE ON THE PLATFORM MAY NOT BE RELIABLE AND ACCURATE. WE AND OUR AFFILIATED PARTIES HAVE NO LIABILITY WHATSOEVER FOR YOUR USE OF ANY INFORMATION OR SERVICE, IN PARTICULAR, BUT NOT AS A LIMITATION THEREOF. WE AND OUR AFFILIATED PARTIES ARE NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, LITIGATION, OR THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE NEGATION AND LIMITATION OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN US AND YOU. THE PLATFORM, SERVICES, DOCUMENTS AND INFORMATION PRESENTED WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US REGARDING THE SERVICES THROUGH THE PLATFORM OR OTHERWISE SHALL CREATE ANY WARRANTY, REPRESENTATION OR GUARANTEE NOT EXPRESSLY STATED IN THESE TERMS. ALL RESPONSIBILITY OR LIABILITY FOR ANY DAMAGES CAUSED BY VIRUSES CONTAINED WITHIN THE ELECTRONIC FILE CONTAINING A FORM OR DOCUMENT IS DISCLAIMED.
We and any affiliated party shall not be liable for any loss, injury, claim, liability, or damage of any kind resulting in any way from:
(i) Any action/ non – action by the bank;
(ii) Any errors in or omissions from the platform or any services or products obtainable there from;
(iii) The unavailability or interruption of the platform or any features thereof;
(iv) Your use of the platform;
(v) The content contained on the Platform;
(vi) Any information regarding the services on the application; and/or
(vii) Any delay or failure in performance beyond the control of Greytip, including but not limited to computer viruses, tampering, unauthorized intervention, interception, fraud, technical failures, floods, fires, accidents, earthquakes, riots, explosions, wars, hostilities, acts of government or other causes of like or similar or other character beyond the control of Greytip.
THE AGGREGATE LIABILITY OF US AND THE AFFILIATED PARTIES IN CONNECTION WITH ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM AND, INFORMATION, DOCUMENTS AND SERVICES PROVIDED HEREIN OR HEREBY SHALL NOT EXCEED RS. 1000/- AND THAT AMOUNT SHALL BE IN LIEU OF ALL OTHER REMEDIES WHICH YOU MAY HAVE AGAINST US AND ANY AFFILIATED PARTY.
(i) Governing Law: These Terms shall be treated as though they were executed and performed in Bangalore, India, and shall be governed by and construed in accordance with the laws of the union of India. You understand and agree that any dispute arising from this web platform or from these Terms will be governed by the laws of India without giving effect to conflict of laws provisions and resolved by the courts of Bangalore without resort to any class action suits.
(ii) Cessation of Operation: Greytip may at any time, by its sole discretion and without advance notice to you, cease operation of the services on the application temporarily or permanently. In such an event the Greytip may delete all your content and activity pertaining to the services and the platform at its sole discretion.
(iii) Force Majeure: Greytip will not be deemed in default hereunder or held responsible for any cessation, interruption or delay in the performance of its obligations hereunder due to earthquake, flood, fire, storm, natural disaster, act of God, war, terrorism, armed conflict, labor strike, lockout, hacking, cyber-attack, or boycott.
(iv) Effect of Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision nor of the right to enforce such provision. Our rights under these Terms shall survive any cancellation or revocation of the services provided by Greytip.
(v) Independent Contractor: No joint venture, partnership, employment, or agency relationship exists between the bank and you with Greytip as a result of these Terms or use of the platform.
BY USING THE PLATFORM, AND/OR BY AVAILING SERVICES, YOU SIGNIFY THAT YOU HAVE READ AND UNDERSTOOD THE TERMS AND AGREE TO THESE TERMS, INCLUDING THAT YOU CONSENT TO THE TERMS CONTAINED PROVIDED HEREIN. THESE TERMS CONSTITUTE A BINDING AND LEGAL AGREEMENT BETWEEN YOU AND GREYTIP. IN ORDER TO USE AND ACCESS THE PLATFORM, YOU MUST AGREE TO THESE TERMS. GREYTIP RESERVES THE RIGHT, AT ITS SOLE DISCRETION, TO CHANGE, MODIFY, ADD OR REMOVE PORTIONS OF THESE TERMS, AT ANY TIME. IT IS YOUR RESPONSIBILITY TO CHECK THESE TERMS PERIODICALLY FOR CHANGES. EVERY ACCESS BY YOU OF THE PLATFORM IS DEEMED TO MEAN THAT YOU HAVE AGREED TO ACCEPT AND ADHERE TO THE TERMS AS AMENDED AND APPLICABLE AT SUCH TIME.
